PART A: MASTER TERMS (PRIMARY PROTECTIVE SHIELD)

1. Incorporation of Terms

By purchasing, opening, or utilizing any Cloversoft® product (the “Product”), the User acknowledges and agrees to be contractually bound by these Master Terms.

These terms are incorporated by reference into the purchase agreement and supplement the “CAUTION” notice provided on the physical packaging.

2. Condition Precedent: Mandatory Testing Protocol

It is an express condition precedent to the attachment of any liability to the Company that the User strictly adheres to the following testing protocols based on the Product Categories defined in Part B:

  • Schedules 1 & 5 (Home Care / Wipes & Tissues):
    User must conduct a compatibility test on a small, inconspicuous area of the material or surface and/or a minimal volume within any appliance or machinery prior to full application.
  • Schedules 2, 3 & 4 (Personal Care & Baby/Pet Care/Repellent):
    User must conduct a Skin Patch Test on a discreet area of the dermis (or the pet’s dermis) and observe for 24 hours for any adverse reaction.
Waiver:Failure to perform these tests constitutes a voluntary assumption of risk and a full waiver of any right to seek damages.

3. Limitation of Liability & Maximum Indemnity

Subject to the Consumer Protection (Fair Trading) Act (Singapore) and to the maximum extent permitted by applicable law:

  • Liability Cap:
    The Company’s total aggregate liability for any and all claims—whether in contract, tort (including negligence), or breach of statutory duty—is strictly limited to the actual retail purchase price of the specific unit of Product giving rise to the claim.
  • Exclusion of Consequential Loss:
    The Company expressly excludes liability for any indirect, incidental, special, or consequential losses. This includes, without limitation, property damage, surface degradation, mechanical or motor failure, loss of use, or the voiding of third-party manufacturer warranties.
  • Statutory Exception:
    Nothing herein seeks to exclude liability for death or personal injury resulting directly from the Company’s proven negligence.

4. Comprehensive Indemnification

The User agrees to indemnify, defend, and hold harmless
Alps Group Pte. Ltd., its directors, officers, employees, agents, and contractors against all liabilities, costs, expenses, damages, and losses (including but not limited to any direct, indirect, or consequential losses, and all interest, penalties, and legal costs on a full indemnity basis) suffered or incurred by the Company arising out of or in connection with the User’s breach of instructions or misuse of the Product.

5. General Exclusion of Misuse

The Company shall not be liable for any damage, injury, or loss arising from the misuse of the Product. Misuse includes, but is not limited to:

  • Use of the Product for any purpose other than its intended and labeled use;
  • Failure to follow storage, handling, or disposal instructions;
  • Use on incompatible surfaces, materials, or machinery;
  • Mixing the Product with other chemicals or cleaning agents;
  • Use of the Product after its expiration date or if the packaging is visibly compromised.

Any damage resulting from such misuse is the sole responsibility of the User.

6. No Reliance on External Representations

This disclaimer constitutes the entire agreement between the User and the Company regarding product liability. No oral or written information, advice, or representation given by retailers, agents, employees, or third-party influencers shall create a warranty or in any way increase the scope of the limited liability stated herein.

7. Right to Modify

The Company reserves the right to update or modify these terms at any time without prior notice. Continued use of the Product following such changes constitutes agreement to be bound by the updated terms.

8. Exclusive Jurisdiction & Governing Law

These Terms shall be governed by and construed in accordance with the Laws of the Republic of Singapore. The User irrevocably submits to the exclusive jurisdiction of the Singapore Courts for the resolution of any disputes.

9. Universal Application to Future and Unscheduled Products

  • Scope of Coverage:
    These Master Terms and Conditions apply to all goods manufactured, sold, or distributed by the Company under the Cloversoft® brand, including those launched after the Effective Date of these Terms. This protection applies regardless of whether a specific Product features a physical QR code, direct URL, or digital link to this document.
  • Constructive Notice:
    By purchasing and using any Product, the User acknowledges they have had the opportunity to review these terms via the Company’s official website. The absence of a physical link on the packaging does not waive the Company’s protections or the User’s obligations under these Terms.
  • Default Testing Protocol:
    In the event a Product does not explicitly fall within a specific Schedule in Part B, the User is strictly required to perform both a surface compatibility test and a skin patch test (as defined in Section 2) as an express condition precedent to any claim.
  • Universal Protective Provisions:
    All general exclusions, the General Exclusion of Misuse (Section 5), the Comprehensive Indemnification (Section 4), and the Liability Cap (Section 3) shall apply with full force to all such products.
  • Primacy of Master Terms:
    The absence of a product-specific Schedule or a direct physical link on packaging does not waive, diminish, or otherwise affect the Company’s legal protections or the User’s binding obligations under Part A.

PART B: PRODUCT-SPECIFIC SCHEDULES

Schedule 1: Home Care (Kitchen Wipes, Laundry Detergents, Laundry Pods, Floor Cleaners)

  • Disclaimer of Mechanical Liability:
    The Company provides no warranty regarding the compatibility of the Product with specific mechanical components or internal motor systems of cleaning appliances.
  • Property Damage:
    Alps Group Pte. Ltd. is not liable for the repair or restoration of surfaces including, but not limited to, natural stone, porous wood, or specialized industrial coatings.
  • Plumbing Disclaimer:
    Wipes are strictly non-flushable. The User assumes full liability for all remediation costs associated with plumbing or sewage blockages.

Schedule 2: Personal Care & Baby (Body Wash, Shampoo, Conditioner, Hand Wash, Baby Wipes)

  • Disclaimer of Physiological Sensitivity:
    The Company is not liable for idiosyncratic allergic reactions or dermatological sensitivities. The User acknowledges that “natural” or “plant-based” ingredients may still act as allergens.
  • Ocular Warning:
    Avoid contact with eyes. The Company disclaims all liability for secondary medical complications or specialized treatment costs resulting from eye contact or ingestion.

Schedule 3: Repellents (Mosquito Spray & Patches)

  • Ocular Warning:
    DO NOT SPRAY OR PASTE NEAR EYES OR MOUTH. Avoid contact with mucosal membranes. In case of eye contact, rinse immediately with plenty of water for several minutes and seek medical advice. The Company is not liable for ophthalmic injuries or complications arising from contact with eyes.
  • Disclaimer of Efficacy:
    No guarantee of 100% protection against insect-borne pathogens is provided. Alps Group Pte. Ltd. is not liable for medical expenses or loss of income resulting from insect bites or related illnesses.
  • Flammability:
    User assumes all risk for property damage or personal injury resulting from the application of aerosol or spray products near ignition sources.

Schedule 4: Pet Care (Pet Shampoo & Wipes)

  • Species-Specific Warning:
    Unless otherwise labeled, Pet Shampoo is formulated for use on dogs only. Do not use on cats or other animals without professional veterinary advice. The Company disclaims all liability for adverse reactions in non-target species.
  • Ingestion Warning:
    For external use only. Prevent the animal from licking the product during application or before rinsing. The Company is not liable for illness resulting from ingestion.
  • Veterinary Indemnity:
    The User assumes all risk for pet-specific biological reactions. The Company is not liable for veterinary consultation fees, diagnostic tests, or pet treatment costs.

Schedule 5: Bamboo Wipes & Tissues

  • Infrastructure Disclaimer:
    Company accepts no liability for plumbing repairs resulting from the disposal of paper products in non-compliant drainage systems.

PART C: SURVIVABILITY & SEVERABILITY

  • Severability:
    If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall remain in full force.
  • Entire Agreement:
    These Terms constitute the entire agreement between the Company and the User, superseding all prior marketing representations, verbal assurances, or third-party retailer claims.
